1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between PrimeHTML, a service of Prime Business Systems ("PrimeHTML," "we," "us," or "our"), located at 8 The Green Suite B, Dover, Delaware 19901 USA, and the client ("you," "your," or "client") using our services.
By accessing our services, making any payment, submitting any form, or using our platform, you automatically acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these Terms, you may not use our services.
2. Service Description
2.1 Overview
PrimeHTML provides a done-for-you prerendering and white-label proxy service for JavaScript single-page application (SPA) websites. Our service makes client websites fully visible to search engines, social media crawlers, and AI crawlers by serving rendered HTML content to bots while maintaining the normal interactive experience for human visitors.
2.2 Core Service Features
All PrimeHTML subscription plans include the following features:
- SEO Prerendering: Automated rendering of client website pages into static HTML served to search engine bots, social media crawlers, and AI crawlers
- White-Labeling: Complete removal of hosting platform references from page source, response headers, and network requests, replacing them with client's own domain
- Bot Detection: Detection and appropriate handling of 30+ crawler types including search engines, social media platforms, AI crawlers, and SEO tools
- SSL Certificates: Automatic HTTPS provisioning and renewal via industry-standard certificate authorities
- Cache Management: Daily automated cache refresh with on-demand cache clearing available upon request
- Done-For-You Setup: Complete service configuration handled by our team — client only updates DNS
- WhatsApp Onboarding & Support: Personal onboarding and ongoing support via WhatsApp Business
2.3 Platform Compatibility
PrimeHTML is compatible with websites built on any JavaScript SPA platform including but not limited to Lovable, Bolt.new, Replit, Base44, Vercel, Netlify, Framer, Webflow, and any custom-hosted React, Vue, Angular, or Svelte application.
2.4 Service Limitations
PrimeHTML is a prerendering and proxy service. We do not:
- Build, design, or develop client websites
- Provide search engine optimization (SEO) consulting or content creation
- Guarantee specific search engine rankings, traffic levels, or business outcomes
- Provide website hosting as a standalone service (we proxy to your existing hosting platform)
- Modify client website source code or functionality
3. Subscription Plans and Pricing
3.1 Available Plans
PrimeHTML offers the following subscription plans:

3.2 Render Allocation
Each subscription plan includes a monthly render allocation as specified above. A "render" is defined as the generation of a new rendered HTML page by our prerendering engine in response to a bot request for a page that is not currently cached.
Important clarifications regarding render counting:
- Cached page serves (cache hits) do NOT count toward your render allocation
- Only new renders (cache misses) count toward your monthly allocation
- Daily cache refreshes count toward your render allocation
- On-demand cache clears that trigger re-renders count toward your allocation
3.3 Render Allocation Limits
When a client's monthly render allocation is approaching or has been reached:
- PrimeHTML will proactively reach out to the client via WhatsApp or email to discuss the situation
- Cached pages will continue to be served to bots at no additional charge
- We will work with the client to determine whether a plan modification is appropriate to accommodate higher render needs
- Service is not abruptly terminated or degraded — we communicate first and find a solution together
3.4 Site Limits
Each plan includes a maximum number of sites as specified. A "site" is defined as one unique domain (e.g., example.com) configured through PrimeHTML. Subdomains are counted as separate sites. Additional sites beyond plan limits require a plan upgrade.
3.5 Pricing Changes
PrimeHTML reserves the right to modify subscription pricing with 30 days advance written notice to active subscribers. Price changes do not affect the current billing period. Clients may cancel before the new pricing takes effect without penalty.
4. Payment Terms
4.1 Payment Requirements
- All subscription services require payment in advance
- No service configuration or setup commences until payment is received and processed
- Subscription fees are billed monthly on the anniversary of the subscription start date
- All payments must be made via accepted payment methods as displayed during checkout
4.2 All Sales Final — No Refund Policy
All sales are final. PrimeHTML does not offer refunds, credits, or chargebacks for any services rendered, subscriptions purchased, or payments made. By subscribing to PrimeHTML services, client acknowledges and agrees that:
- All payments are non-refundable regardless of service utilization, satisfaction, or business circumstances
- No partial refunds are provided for unused portions of billing periods
- No credits are issued for periods of reduced usage or site downtime outside our control
- Chargebacks or payment reversals initiated by the client result in immediate service termination and may result in collection action for the disputed amount plus associated fees
This no-refund policy applies to all payment types including subscription fees, plan upgrades, and any other charges.
4.3 Automatic Renewal
Subscriptions automatically renew each billing period unless cancelled. Cancellation must be communicated via email to support@mail.primehtml.com or via WhatsApp at least 7 days before the next billing date to avoid being charged for the following period.
4.4 Late Payment and Service Suspension
- Services may be suspended if payment fails or is not received by the billing date
- A grace period of 5 business days is provided to resolve payment issues
- Suspended services result in prerendering and white-labeling being disabled for the client's sites
- Client websites continue to function normally on their original hosting platform during suspension (DNS can be reverted by the client at any time)
- Service is restored upon receipt of outstanding payment
- Accounts with payment failures exceeding 30 days may be terminated
4.5 Plan Changes
- Plan upgrades take effect immediately upon payment
- Plan downgrades take effect at the start of the next billing period
- No credits or refunds are provided for the difference when downgrading mid-cycle
5. Lifetime Deal Terms
5.1 Availability
PrimeHTML may offer Lifetime Deal promotions at our sole discretion during limited promotional periods. Lifetime Deals are not permanently available and are offered only during specific timeframes as announced by PrimeHTML.
5.2 Lifetime Deal Terms
Lifetime Deal purchases are subject to the following terms:
- Lifetime Deals provide a one-time payment for perpetual access to the specified service tier and features
- The service level, features, and render allocations included are defined at the time of purchase and may vary between Lifetime Deal offerings
- Lifetime Deal access is guaranteed while PrimeHTML remains operational
- Monthly render allocations apply as specified in the Lifetime Deal offer
- Render allocation limits are managed the same as subscription plans (proactive outreach if limits are approached)
- All Lifetime Deal sales are final — no refunds under any circumstances
- Lifetime Deals are non-transferable unless explicitly authorized by PrimeHTML in writing
- Subject to fair usage policies and platform compliance
- Subject to the same Terms of Service as subscription accounts
- PrimeHTML reserves the right to modify Lifetime Deal features with 30 days notice, provided that the core service (prerendering, white-labeling, bot detection, SSL) remains substantially equivalent
5.3 Lifetime Deal Discontinuation
If PrimeHTML ceases operations:
- Lifetime Deal holders will receive 30 days advance notice
- Clients can revert DNS settings to resume direct access to their hosting platform at any time
- No refunds are provided if PrimeHTML discontinues operations
6. Onboarding and Client Responsibilities
6.1 Onboarding Process
Upon payment, the following onboarding process applies:
- Client receives a confirmation email with instructions for connecting with PrimeHTML on WhatsApp Business
- If the client does not have WhatsApp or is unable to use it, onboarding and ongoing support will be conducted via email
- PrimeHTML collects necessary information from the client (domain name, hosting platform, site URL)
- Client updates their DNS A records to point to PrimeHTML's servers as instructed
- PrimeHTML configures the complete service (prerendering, white-labeling, SSL, cache management)
- PrimeHTML confirms the site is live and provides verification
6.2 Client Responsibilities
Client agrees to the following responsibilities:
DNS Configuration:
- Client is responsible for updating DNS A records as instructed by PrimeHTML
- Client must have administrative access to their domain's DNS settings
- PrimeHTML will provide clear instructions and walk the client through the process
Domain Ownership:
- Client must be the legitimate owner or authorized administrator of any domain configured through PrimeHTML
- Client must not use PrimeHTML to proxy domains they do not own or control
Website Content:
- Client is solely responsible for all content on their website
- Client warrants that their website content does not violate any applicable laws or regulations
- Client warrants that their website does not contain malware, phishing content, or illegal material
- PrimeHTML reserves the right to refuse or terminate service for websites containing illegal, harmful, or objectionable content
Google Analytics:
- If the client requires Google Analytics tracking, the client is responsible for installing Google Analytics code within their website through their SPA builder platform (Lovable, Bolt.new, Replit, etc.)
- PrimeHTML does not install or manage Google Analytics on behalf of clients
Communication:
- Client shall respond to PrimeHTML communications within 5 business days for routine matters
- Client shall respond within 48 hours for urgent matters (e.g., DNS issues, SSL problems, render limit discussions)
- Client shall provide accurate and complete information necessary for service configuration
6.3 Prohibited Uses
Client may not use PrimeHTML services for:
- Websites engaged in illegal activities or promoting illegal content
- Websites distributing malware, spyware, or other harmful software
- Websites engaged in phishing, fraud, or deceptive practices
- Websites that infringe on the intellectual property rights of others
- Websites containing or distributing child exploitation material
- Any purpose that violates applicable laws or regulations
- Deliberately circumventing render allocation limits through technical means
- Reselling PrimeHTML services without written authorization
PrimeHTML reserves the right to immediately terminate service without refund for any prohibited use.
7. Service Delivery and Performance
7.1 Service Level
PrimeHTML provides services on a best-effort basis with the goal of maximizing uptime and performance. We maintain enterprise-grade infrastructure and implement industry-standard reliability practices.
7.2 Service Availability
- PrimeHTML targets high availability for all client sites
- Scheduled maintenance windows are communicated in advance via WhatsApp or email
- Emergency maintenance may occur without advance notice when necessary to protect service integrity or security
- Client websites remain accessible via their original hosting platform at all times — if PrimeHTML is temporarily unavailable, visitors still reach the client's site directly
7.3 Cache Management
- Rendered pages are cached and served to bots for optimal performance
- Cache is automatically refreshed daily
- Clients may request on-demand cache clearing at any time via WhatsApp or email
- Cache clearing is typically processed within 1 hour of request during business hours
7.4 No Guaranteed Outcomes
PrimeHTML provides technical infrastructure for prerendering and white-labeling. We do not guarantee:
- Specific search engine rankings or improvements
- Specific traffic levels or increases
- Specific indexing timelines by Google or other search engines
- Specific performance in AI search results (ChatGPT, Perplexity, Claude, etc.)
- Any specific business outcomes or revenue improvements
Search engine ranking depends on many factors beyond prerendering, including content quality, backlinks, domain authority, competition, and search engine algorithm changes — none of which are within PrimeHTML's control.
8. Intellectual Property
8.1 Client Ownership
Client retains full ownership of:
- All website content, including text, images, logos, and media
- Client's domain name and DNS configuration
- Client's website source code on their hosting platform
- Client's business data, customer data, and analytics data
- Client's Google Analytics data and account
8.2 PrimeHTML Ownership
PrimeHTML retains ownership of:
- All PrimeHTML service infrastructure, software, and systems
- Service configuration templates and operational methodologies
- PrimeHTML branding, trademarks, and website content
- Performance optimization techniques and service delivery processes
8.3 No Data Lock-In
PrimeHTML does not create data lock-in. Client can disconnect from PrimeHTML at any time by reverting their DNS A records to point directly to their hosting platform. The client's website, content, and hosting platform are completely independent of PrimeHTML.
9. Confidentiality
9.1 Information Protection
- Mutual confidentiality obligation for all business information exchanged during the service relationship
- Client website configurations and technical details treated as confidential
- No public disclosure of client relationships without written authorization
- PrimeHTML service methodologies and infrastructure details treated as proprietary information
9.2 Disclosure Limitations
Confidentiality obligations do not apply to information that:
- Is required to be disclosed by law, regulation, or court order
- Is or becomes publicly available through no fault of the receiving party
- Was previously known to the receiving party without restriction
- Is independently developed by the receiving party
9.3 Testimonials and Case Studies
PrimeHTML will not reference client relationships, display client logos, or publish case studies without the client's explicit written authorization. Clients who wish to provide testimonials may do so voluntarily.
10. Limitation of Liability
10.1 Service Disclaimer
- PrimeHTML provides services "as is" and "as available"
- No guaranteed outcomes, specific search engine rankings, or business results
- No liability for search engine algorithm changes or crawling behavior outside our control
- Best-effort service delivery within industry standards
10.2 Technical Limitations
- No liability for service interruption due to force majeure events, hosting platform outages, or internet infrastructure failures
- No liability for client website issues, bugs, or content problems
- No liability for DNS propagation delays outside our control
- No compensation for system downtime beyond the affected billing period
- Best-effort resolution of all technical problems
10.3 Maximum Liability
In no event shall PrimeHTML's total liability to client exceed the total amount paid by client to PrimeHTML during the three (3) months immediately preceding the event giving rise to the claim.
10.4 Exclusion of Damages
In no event shall PrimeHTML be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, regardless of the cause of action or the theory of liability.
11. Termination
11.1 Client-Initiated Termination
- Client may cancel their subscription at any time by contacting support@mail.primehtml.com or via WhatsApp
- Cancellation must be received at least 7 days before the next billing date to avoid charges for the following period
- Service remains active through the end of the current paid billing period
- Client may disconnect immediately at any time by reverting DNS settings
11.2 PrimeHTML-Initiated Termination
PrimeHTML may terminate or suspend service immediately and without refund if:
- Client violates any provision of these Terms
- Client engages in prohibited uses as defined in Section 6.3
- Client initiates a chargeback or payment reversal
- Client's website contains illegal, harmful, or objectionable content
- Client fails to pay outstanding invoices after the grace period
- Continued service poses a legal, security, or reputational risk to PrimeHTML
11.3 Post-Termination
Upon termination of service:
- Prerendering and white-labeling services are discontinued
- Client's website continues to function normally via their original hosting platform
- Client should revert DNS settings to point directly to their hosting platform
- Cached rendered pages for client domains are deleted
- Service configuration data is deleted within 30 days
- Client data retention as specified in our Privacy Policy
- No transfer of PrimeHTML service configurations or infrastructure
12. Dispute Resolution
12.1 Informal Resolution
Before initiating formal dispute resolution, both parties agree to attempt to resolve any dispute informally by contacting the other party via email. PrimeHTML can be reached at support@mail.primehtml.com. The parties shall have 30 days from the date of the initial dispute notice to reach an informal resolution.
12.2 Arbitration
If informal resolution fails, any dispute arising from or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.
12.3 Class Action Waiver
Client agrees that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, class arbitration, or other representative action.
13. Governing Law
13.1 Jurisdiction
These Terms are governed by the laws of the State of Delaware, without regard to conflicts of law principles. Exclusive jurisdiction for any legal proceedings not subject to arbitration shall be in the courts of Delaware.
13.2 International Clients
For international clients, local consumer protection laws may provide additional rights. These Terms are designed to comply with applicable international regulations while maintaining Delaware law as the primary governance framework.
14. Modifications to Terms
14.1 Right to Modify
PrimeHTML reserves the right to modify these Terms at any time. Material changes will be communicated to active clients via email or WhatsApp with at least 30 days advance notice.
14.2 Acceptance of Modified Terms
Continued use of PrimeHTML services after the effective date of modified Terms constitutes acceptance. Clients who do not agree with modified Terms may cancel their subscription before the changes take effect without penalty.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and PrimeHTML regarding your use of our services. These Terms supersede all prior terms, agreements, and understandings.
15.2 Severability
If any provision of these Terms is found invalid, illegal, or unenforceable, such provision shall be deemed amended to achieve as closely as possible the economic effect of the original provision, and the remainder of these Terms shall remain in full force and effect.
15.3 Waiver
Failure by PrimeHTML to enforce any provision of these Terms shall not constitute a waiver of that provision or the right to enforce it at a later time.
15.4 Assignment
Client may not assign or transfer their subscription or any rights under these Terms without PrimeHTML's written consent. PrimeHTML may assign its rights and obligations under these Terms to a successor entity in connection with a merger, acquisition, or sale of assets.
15.5 Force Majeure
PrimeHTML shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet outages, hosting platform outages, cyberattacks, or other force majeure events.

17. Acceptance
By using PrimeHTML services, making any payment, or accessing our systems, you acknowledge reading, understanding, and agreeing to these Terms of Service. These Terms constitute the entire agreement between you and PrimeHTML regarding your use of our services.
